Terms of Service
The agreement between you and ClipSurge.

These Terms of Service ("Terms") are an agreement between you and ClipSurge LLC (a Michigan single-member LLC, "ClipSurge", "we", "us") governing your use of the ClipSurge service at clipsurge.app and app.clipsurge.app. By creating an account, purchasing a plan, or otherwise using ClipSurge, you agree to these Terms.
Plans and billing
- Trial. Free, no card required. Capped at 2 batches × 10 credits each. No commercial production use; the Trial exists to evaluate the product.
- Starter, Pro, Enterprise. Recurring subscriptions, billed monthly or annually via Stripe. Cancellations are effective at the end of the current billing period. No prorated refunds for mid-cycle cancellations.
- Founding Member Lifetime. One-time
$299payment for permanent Pro-equivalent access. Refund policy:- No refunds after a seat has been successfully claimed.
- Automatic refund if Stripe Checkout fails to allocate a seat (rare race condition; handled by our system without user action).
- Founding Members receive permanent Pro-equivalent monthly credits; that price never increases for the original purchaser.
- If ClipSurge ceases operation, Founding Members receive a 30-day data-export window before deletion.
If you are in the EU, UK, or another jurisdiction with a statutory cooling-off period for distance contracts, that statutory right applies and overrides the "no refunds after claim" language above.
- Top-up packs. One-time purchases that add credits to your balance. No refunds once the credits have been granted; top-up credits do not expire and roll over month-to-month.
Credit usage
- 1 credit = 1 rendered output file (one MP4 in one aspect ratio).
- AI hook generation costs 5 credits per generation call, regardless of how many hook variants you receive in that call.
- Subscription credits (Starter, Pro, Enterprise, Lifetime) reset at the start of each billing month. Unused subscription credits do not roll over.
- Top-up credits purchased separately persist on your balance until used.
- When you submit a render, credits are deducted on success. Failed renders (our infrastructure error) refund the credit automatically.
Acceptable use
You agree not to use ClipSurge for any of the following:
- Uploading content you do not have rights to: clips, music, voice recordings, brand assets, or any third-party material covered by copyright, trademark, or right of publicity.
- Content that is illegal in your jurisdiction or in Michigan.
- Nudity, gore, sexually explicit content, hate speech, content sexualizing minors, or content depicting violence against real people. The ClipSurge Discord rules apply to the community space; ClipSurge content rules apply to your renders.
- Commercial reselling of ClipSurge access. Enterprise customers may produce content for their own clients; agencies may not resell raw ClipSurge accounts or seats.
- Automated scraping of the service, abuse of API rate limits (the soft cap is 200 publish posts per day per account), or attempts to circumvent feature gates, credit caps, or trial limitations.
Intellectual property
- You own your inputs. The source clips, images, text, and brand-kit content you upload remain yours.
- You own your outputs. The rendered MP4s ClipSurge produces from your inputs are yours; ClipSurge claims no ownership stake in them.
- We own the tool. The ClipSurge rendering engine, brand-kit system, AI hook generation prompts, web interface, and underlying software remain the property of ClipSurge.
- Limited license to process. You grant ClipSurge a limited, non-exclusive license to process your content solely to perform the service: render permutations, generate hooks, transcribe captions, and (when you instruct) relay to our publishing provider for posting to your connected social accounts.
- No model training on user content. ClipSurge does not use your uploaded content, rendered outputs, or account-derived data to train AI or ML models, and does not feature your content in marketing materials without your explicit written consent.
Auto-publish
- Auto-publishing is included with every plan and metered by a per-plan monthly post cap. ClipSurge relays publishing requests through Post for Me, a third-party publishing infrastructure provider, to the social accounts you connect.
- Availability of individual platforms depends on each platform's approval of publishing access and may change; platform connections are rolling out and a given platform may be temporarily unavailable.
- ClipSurge is not responsible for: content moderation decisions made by target platforms (TikTok, Instagram, YouTube, X, LinkedIn, Pinterest, Threads, Bluesky, Facebook), platform-side account suspensions or bans, or scheduling delays inside the publishing provider.
- You may disconnect a social account at any time from Settings → Connections, which revokes ClipSurge's ability to post to it.
- You are responsible for ensuring your content complies with the community guidelines and acceptable-use policies of each target platform.
Service availability
- ClipSurge does not offer a formal service-level agreement (SLA). We use reasonable best-effort availability with no uptime guarantees and no credit-back program.
- Planned maintenance is announced at least 24 hours in advance in the ClipSurge Discord
#announcementschannel when feasible. - Unplanned outages are disclosed in the same channel as soon as the team is aware.
Limitation of liability
To the maximum extent permitted by applicable law:
- ClipSurge's aggregate liability for any claim arising out of or relating to your use of the service is capped at the amounts you paid to ClipSurge in the 12 months immediately preceding the claim.
- ClipSurge is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.
- For free-tier (Trial) users, ClipSurge's liability is limited to fixing the defect that caused the claim. No monetary remedy is available for Trial usage.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply only to the extent permitted.
Termination
- You can terminate anytime via account Settings. Cancellation stops the next renewal; access continues to end of current period.
- We can suspend or terminate accounts for violation of these Terms. We try to give notice when feasible; we may act immediately for egregious violations such as illegal content, payment fraud, or attacks on the service.
- Data export window. On termination, you have 30 days to request and download an export of your data before it is deleted. Email

Changes to these terms
We may update these Terms. For material changes (anything that affects your rights, pricing, or how your data is handled), we will email all active accounts and post an in-app notice at least 14 days before the effective date. Your continued use of ClipSurge after the effective date constitutes acceptance.
Dispute resolution
These Terms are governed by the laws of Michigan, without regard to its conflict-of-laws principles.
Disputes between you and ClipSurge will be resolved by binding arbitration, with venue in Lapeer County, Michigan. Each party is responsible for its own attorneys' fees and costs, except as otherwise required by law.
Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
